1. Introduction

1.1 This is a legal agreement between (a) you, (b) the person that is registered on your behalf to attend (“the Participant”); and (c) Place2Be (“we”) for the provision of the Senior Mental Health Leads training programme as set out in clause 4.2 below (the “Programme”).

1.2 Booking onto, entering into, or participating in the Programme constitutes acceptance of these terms by you and the Participant. If you do not agree to these terms, you must discontinue the booking process now. The provision of the Programme by us constitutes consideration for your and the Participant’s acceptance of these terms.

1.3 Please read this document carefully and make sure that you understand the terms before committing to the Programme.

2. Information about us

Place2Be is a charity registered with charity number 1040756 (England and Wales), SC038649 (Scotland) and a private company limited by guarantee registered in England and Wales with registered number 2876150, with our registered office at 175 St John Street, London EC1V 4LW.

3. Quality Assurance

3.1 The Programme has been assessed as meeting the quality criteria to deliver Department for Education (“DfE”) grant-funded Senior Mental Health Lead training for schools and colleges. We are on the DfE-assured list of providers and are subject to quality assurance checks. The Programme covers all eight learning outcomes set out by the DfE.

3.2 The content of the Programme has been certified by the CPD Certification Service Certificate No. A033654 as conforming to continuing professional development principles.

3.3 As part of the programme:

3.3.1 we routinely collect anonymised output and outcome data relating to the Programme from our online learning environment for the purpose of research and evaluation; and

3.3.2 we share an online Satisfaction Survey with Participants, which contains questions that we ask on behalf of the DfE, the results of which we aggregate and provide to the DfE on an anonymised basis.

3.4We use the data obtained to inform the continuous improvement of the Programme.

3.5 Where the Participant does not sit on the leadership team at the school or college but has its support, then a named member of the leadership team should be actively engaged in the process alongside the Participant to ensure that the learning can be put into practice.

4. Delivery of the Programme

4.1 We will deliver the Programme to you with reasonable skill and care.

4.2. The Programme is comprised of the following elements:

4.2.1 four online pathways of content, delivered as self-directed study on the online Hive learning platform (the “Self-Study Pathways”);

4.2.2 four online live interactive group sessions conducted via video call with up to two trainers in attendance (the “Live Sessions”);

4.2.3 two one-hour 1:1 online consultations between you and a trainer, which are bespoke to the individual circumstances (the “Individual Consultation”); and

4.2.4 two one-hour optional online group reflective sessions conducted via video call (the “Reflection Sessions”).

4.3 The:

4.3.1 Self-Study Pathways should take approximately 10 hours in total, can be arranged at your convenience, and each Self-Study Pathway should be completed before the corresponding Live Session;

4.3.2 Live Sessions should take 10 hours in total and will be at fixed times and dates arranged by Place2be.

4.3.3 Individual Consultations should take one hour each, and the time and date of each must be arranged directly with Place2Be; and

4.3.4 Reflection Sessions should take one hour each, with the first to be scheduled between the second and third Live Sessions and the second to be scheduled two weeks after the fourth Live Session takes place.

4.4 The total estimated time it takes to complete the Programme is approximately 23 to 25 hours across 12 to 15 weeks.

4.5 We will make every reasonable effort to ensure that the Programme is delivered to you in accordance with these terms. We reserve the right to:

4.5.1 change the cohort trainer(s);

4.5.2 reschedule a cohort and/or Programme for another time and date;

4.5.3 charge reasonable additional fees to cover costs, time, and expense incurred by any additional requests, supplemental sessions, deviations from the Programme as provided, or extra administrative requests, including the items set out in clause 6.8 below; and

4.5.4 increase fees for the Programme and charge additional fees to cover costs, time, and expenses incurred by any additional requests, supplemental sessions, deviations from the Programme, or extra administrative requests, in each case in relation to you, including the items set out in clause 6.8 below.

4.6 A maximum of 35 participants can be allocated to a cohort, and we provide a maximum of two trainers per cohort.

4.7 You and the Participant acknowledge and agree that only the registered Participant who has been booked onto and paid for their place on the Programme can have access to: our online learning environment Hive, the Self-Study Pathways, the Live Sessions, the Individual Consultations and the Reflection Sessions, all of which are confidential spaces for participants of the cohort. If any other person is given access to these spaces by you or the Participant, then that constitutes a material breach of these terms, and we shall have the right to suspend you and the Participant from the Programme.

4.8 You and the Participant may bring up to five members of any relevant school or college staff to the Individual Consultations.

4.9 We are the owner or the licensee of the content and materials used and distributed in the course of the Programme, and we will be the owner of all intellectual property generated as part of the Programme. Except as permitted by law, you may not copy, distribute, display or issue to the public such content and/or materials without first obtaining our written permission.

4.10 You agree that the content and materials used in the Programme are our confidential information. You may not disclose our confidential information to anyone else without first obtaining our written permission, and you must hold them in strict confidence and shall take precautions necessary to maintain their status as confidential, including any measures that you apply to confidential information of your own.

5. Completion

5.1 You acknowledge and agree that in order to complete the Programme and receive a completion certificate for our CPD Certified Senior Mental Health Leads course (the “Completion Certificate”), the Participant must complete the following elements of the Programme (the “Completion Criteria”):

5.1.1 complete all four Self-Study Pathways;

5.1.2 attend at least three Live Sessions, including the first and fourth Live Sessions, which are mandatory; and

5.1.3 attend the two Individual Consultations

by the end of the academic term on which that Participant’s cohort was scheduled to complete the Programme.

5.2 We will issue a Completion Certificate to the Participant if they have successfully met the Completion Criteria and you have no outstanding amounts, including the Fee or any Additional Fee, due to us. The Completion Certificate will bear the name of the Participant only.

5.3 The Completion Certificate will be sent to the email address provided at the time of booking and will be sent at the end of the next academic term following completion of the criteria. The Completion Certificate will not be sent to personal email addresses or to email addresses for other schools.

6. Payment

6.1 The cost of the Programme is £880 (the “Fee”).

6.2 You must pay the Fee in full in advance of the start date for the cohort you or the Participant have booked onto. You or the Participant will not be granted access to the Programme until we are in receipt of the full Fee in Place2Be’s bank account.

6.3 Payment of the Fee should ordinarily be made online through the online booking system provided by Bookwhen (the “Booking System”) via debit or credit card (“Online Payment”).

6.4 If you pay the Fee by Online Payment and do not request an invoice or any documentation beyond the automated email receipt that is issued for Online Payment, then you may receive a £20 discount on the Fee by entering the discount code located in the Booking System. No invoice or receipt will be issued in respect of this discount beyond the automated email receipt, and if you request further information or documentation after applying this discount, we have the right to charge an administration fee of £16, including VAT.

6.5 If you require that payment of the Fee be made using any payment method other than Online Payment, then the following terms apply:

6.5.1 you must request an invoice from us by selecting that option at the end of the booking form.

6.5.2 you must specify any requests for information to be included on the invoice or provided in connection with the invoice or Fee, including any purchase order numbers that you require, within 48 hours of booking;

6.5.3 you must pay the Fee by BACS transfer, credit/debit card or cheque promptly after you have made the booking, and in any event before the start date for the cohort you or the Participant have booked onto;

6.5.4 if you or the Participant pay by cheque, it must have cleared into Place2Be’s account before the start date for the cohort that you or the Participant has booked onto; and

6.5.5 if you request that we reissue an invoice or include any further information at any time after 48 hours from the time of booking, then we have the right to charge an administration fee of £16, including VAT.

6.6 Any administration fees or additional fees beyond the Fee due under these terms, and in particular without limitation under clauses 4.5, 6.4, 6.5.5, 6.8, 8.3, 9.2, 9.3, 10.4, and 11.4, shall each be referred to in these terms as an “Additional Fee”. If an Additional Fee is payable under these terms, we will send you an email requesting payment that will contain instructions on how to pay. Payment of that Additional Fee must be made promptly in full online by credit or debit card. As specified in clause 5.2, if payment is not made, then a Completion Certificate will not be issued. The automated email receipt is the only documentation that can be issued in connection with the payment.

6.7 If you, the Participant, your local authority, your school trust or any other relevant person require a new supplier form or equivalent to be completed by Place2Be, then you or the Participant must request this in writing by email to mhc@place2be.org.uk within 48 hours of booking.

6.8 The Fee does not cover payment for any other expenses or costs that may be incurred by us, you or the Participant beyond the delivery of the Programme in accordance with clause 4, which will have to be paid for separately, including but not limited to:

6.8.1 backfill/cover for you or the Participant when undertaking the Programme;

6.8.2 travel for you or the Participant;

6.8.3 the provision of any supplemental sessions outside the structure of the Programme;

6.8.4 a Transfer (as defined in clause 10.1); and

6.8.5 a Deferral (as defined in clause 10.2).

6.9 If you intend to pay the Fee using a DfE grant, you acknowledge and agree that the DfE does not pay grants directly to us. It is your responsibility to submit your proof of booking the Programme to the DfE in good time via the online form on the DfE website in order for that grant to be issued to either you, your local authority, school trust or any other relevant organisation.

6.10 You acknowledge and agree that regardless of the fact that the DfE pay grants on a quarterly basis, you are required to pay us on booking in accordance with the terms of this clause 6.

6.11 You acknowledge and agree that we will not issue a Completion Certificate to the Participant if you have not fully paid the Fee and any other Additional Fees, costs, expenses or administration fees due to us in accordance with these terms.

7. Cancellation and refunds

7.1 You acknowledge and agree that if you or the Participant cancel your place on the Programme at any stage after making your booking, there will be no entitlement to a refund, and you will remain liable to Place2Be for any outstanding payment(s).

7.2 You acknowledge and agree that if your place on the Programme has been funded by any other party, including but not limited to the DfE, then we will inform them that you have cancelled your place on the Programme.

7.3 If we cancel a cohort which you have booked and you or the Participant are not able to attend the alternative cohort dates offered to you, then we will provide a full refund within 28 days of cancellation.

7.4 We do not provide refunds in any other circumstances, so please ensure you understand what we cover in the Programme and how it will be delivered before booking. Please contact us at mhc@place2be.org.uk if you have any questions about the Programme and how it is delivered.

8. Appointments

8.1 You shall give at least 72 hours written notice to mhc@place2be.org.uk for any request to change any element of the booking for an Individual Consultation, the fourth Live Session, or Supplemental Session (as defined below) (any of which being a “Session”).

8.2 If you do not give such notice, we will not change any element of the booking, and if you fail to attend the original booking, you and the Participant will forfeit the Session without refund.

8.3 If you do give such notice, then you acknowledge and agree that we will make the change to the Session subject to availability at that point in time, and we will charge an administration fee to process this change.

9. Supplemental Sessions

9.1 You acknowledge and agree that we may not have the capacity to offer sessions for the Programme beyond those in clause 4.2, which are initially scheduled with you in accordance with clause 4.3. We may, at our absolute discretion, be able to offer you supplementary sessions of the fourth Live Session or the Individual Consultations (a “Supplemental Session”) if you were unable to attend the initially scheduled sessions. It is your responsibility to ensure that you and the Participant are familiar with and fulfil all of the Completion Criteria set out in clause 5, as the Participant will not receive a Completion Certificate if they do not fulfil the Completion Criteria.

9.2 You acknowledge and agree that any Supplemental Sessions which we offer are at our discretion, and whether they are offered depends on our capacity to deliver them at the relevant point in time. As Supplemental Sessions are outside the scope of the Programme and require additional resources, you acknowledge and agree that we have the right to charge a reasonable fee for them.

9.3 If you require a Supplemental Session in order to meet the Completion Criteria, you will be required to pay an additional fee to cover the cost. You can request a Supplemental Session(s) and enquire about the cost in writing to mhc@place2be.org.uk.

9.4 You acknowledge and agree that where available, the Supplemental Session must be requested by you or the Participant, booked, paid for and taken before the training for the cohort the Participant is booked onto finishes.

9.5 We will provisionally schedule one supplementary Live Interactive Group Session 4 at the end of each academic term, depending on our capacity to deliver it at that point in time.

10. Transfer and Deferral

10.1 “Transfer” means moving from one cohort to another with no significant delay to the start date.

10.2 “Deferral” or “Defer” means delaying your start and moving from your current cohort to a cohort that starts at a later date.

10.3 You acknowledge and agree that you and the Participant hold responsibility for ensuring you select and book times and dates that you and the Participant can confidently commit to. If an exceptional circumstance occurs that means you or the Participant need to Transfer or Defer your booking, and the Participant has not already started the Programme, then you or the Participant shall request a Transfer or Deferral in writing to mhc@place2be.org.uk at least three weeks in advance of the start date of your booked Programme.

10.4 You acknowledge and agree that any and all changes that you ask us to make in relation to a Transfer or Deferral are at our discretion, subject to availability and will incur an administration fee of £16, including VAT.

10.5 If you are paying for the Programme using: i) a DfE grant or ii) a funded place facilitated by a funding partner, then it is your responsibility to notify the DfE or funding partner (as applicable) of, and obtain their consent to, any changes you request as it may affect the agreement with them and the financial year in which the relevant grant or funding is to be applied.

11. Replacement Participant

11.1 If an exceptional circumstance occurs that means the original Participant is no longer able to attend the Programme, then you or the Participant can make a written request for another appropriate participant from the school to take their place (“Replacement”).

11.2 The headteacher or equivalent at the school must provide us with written confirmation that the new Participant is a suitable candidate for the Programme and has the support of the senior leadership team. The written confirmation must be sent to mhc@place2be.org.uk. You acknowledge and agree that we must receive this written confirmation before the new Participant is given access to the Programme.

11.3 You acknowledge and agree that if the original Participant has reached a stage in the Programme where it would not be possible for the new Participant to fulfil the Completion Criteria, then we will not agree to your request.

11.4 You acknowledge and agree that any and all changes that you ask us to make in relation to a Replacement are at our discretion, subject to availability and will incur an administration fee of £16, including VAT.

>13. Communications

13.1 For the avoidance of doubt, all references in these terms to “in writing” includes email.

13.2 If you wish to contact us in writing or if any paragraph in these terms requires you to give us notice in writing, you can send this to us by email at mhc@place2be.org.uk or by post to Place2Be at 175 St John Street, London EC1V 4LW. We will confirm receipt by contacting you in writing, which will normally be by email.

13.3 If we have to contact you or give you notice in writing, we will do so by email.

14. Legal

14.1 You may only transfer your rights or your obligations under these terms to another person if we agree in writing.

14.2 These terms are to be read with and incorporate Place2Be’s:

i) standard terms and conditions; and

ii) privacy policy.

If there is any conflict between these terms and either the standard terms and conditions or the privacy policy, then the terms in the standard terms and conditions or privacy policy (as applicable) will take precedence.

14.3 These terms and any non-contractual obligations arising out of or in connection with it shall be governed by and construed in accordance with English law. The English courts shall have exclusive jurisdiction in relation to all disputes arising out of or in connection with the Programme or these terms. By accepting these terms, you waive any objection to the exercise of that jurisdiction.
